Suruticket Terms of Service

These Suruticket Terms of Service (the “Terms”) apply to all persons using the fast-pass application “Suruticket” (the “Service”), provided by AMEHALE, Inc. (the “Company”) for restaurants and other physical establishments (the “Users”), and to businesses that enter into a merchant agreement with the Company and sell fast passes (as defined in Article 2) through the Service (the “Merchants”). These Terms establish the rights and obligations between the Company and the Users and Merchants (collectively, the “Participants”). Please read these Terms in full and agree to them before using the Service.
Chapter 1 — General Provisions
Article 1 — Purpose
These Terms establish the conditions for using the Service and the rights and obligations between the Company and Participants, so that Participants can use the Service properly and smoothly and the Company can provide the Service safely and continuously.
Article 2 — Definitions
“Applications”: Smartphone applications, websites and other platforms operated and provided by the Company. “Fast Pass”: An electronic ticket sold by a Merchant through the Company’s Applications, carrying the right to priority entry or other preferential services at that Merchant’s establishment. “User”: An individual or entity purchasing a Fast Pass through the Service and receiving priority entry or other services from a Merchant. “Merchant”: A business operating a restaurant or other physical establishment that enters into a merchant agreement with the Company and sells Fast Passes. “Payment Service Provider”: A third party to which the Company entrusts payment processing. “Fee”: The amount deducted by the Company from Fast Pass sales proceeds as compensation for providing the Service to a Merchant.
Chapter 2 — Provisions for Users
Article 3 — Eligibility
Users must reside in Japan and be at least 18 years old, or, if a minor, have the consent of a parent or other legal representative. The Company may refuse or cancel User registration according to its own criteria.
Article 4 — Purchasing Fast Passes
Users may purchase Fast Passes by following the prescribed procedures on the Service. For Fast Pass purchases, the Company processes payment and receives the purchase price on behalf of the Merchant, deducts the prescribed Fee, and transfers the remaining amount to the Merchant. The purchase contract is formed between the User and the Merchant; the Company is not a party to that contract. Payment is made by credit card, electronic money or other methods determined by the Payment Service Provider.
Article 5 — Using Fast Passes
Users can receive priority entry or other benefits by presenting a purchased Fast Pass in the manner specified by the Merchant. Fast Passes may only be used within the validity period displayed at purchase. After that period they become invalid, regardless of the reason, and no refund is provided. The Merchant determines how to handle Users who arrive late for a reservation.
Article 6 — Cancellations and Refunds
In principle, Fast Pass purchases cannot be cancelled or refunded. Exceptions apply where specifically permitted by the Company, including where a Merchant stops providing the service. Where a cancellation or refund is permitted, the Company refunds the remaining amount to the User after deducting the prescribed Fee.
Article 7 — Prohibited Acts
Acts violating laws or public order and morality Reselling, transferring, pledging or otherwise disposing of Fast Passes Interfering with the operation of the Service Infringing the rights of the Company, a Merchant or a third party Other acts deemed inappropriate by the Company
Chapter 3 — Provisions for Merchants
Article 8 — Merchant Registration
Merchants may use the Service only after applying in the manner prescribed by the Company and receiving the Company’s review and approval. Merchants must provide accurate, up-to-date information when applying and promptly notify the Company of any changes.
Article 9 — Selling Fast Passes
Merchants may configure and sell Fast Passes for their own establishments through the Service. Merchants set their own prices, quantities, conditions of use and other details and clearly disclose them to Users. Merchants bear all responsibility arising between themselves and Users regarding the content of Fast Passes. The Company bears no such responsibility.
Article 10 — Fees and Settlement
The Company deducts the previously agreed Fee (excluding tax) from Fast Pass sales proceeds and deposits the remaining amount into the Merchant’s designated bank account once a month, by the end of the following month. Notwithstanding the preceding paragraph, if the Company incurs costs due to chargebacks, refunds to Users or other reasons attributable to the Merchant, the Company may charge those amounts to the Merchant, who must pay immediately.
Article 11 — Merchant Obligations
Merchants must use the Service in accordance with applicable laws, including the Food Sanitation Act, the Act against Unjustifiable Premiums and Misleading Representations and the Act on Specified Commercial Transactions, and with administrative guidance. Merchants must always provide high-quality, safe services to Users and respond in good faith to delays, cancellations and similar events. Merchants must handle User information appropriately in accordance with laws and the Company’s Privacy Policy.
Article 12 — Prohibited Acts
Deceiving Users through inaccurate or misleading representations Business activities violating laws or administrative guidance Infringing third-party intellectual property rights Damaging the reputation or credibility of the Company or Users Other acts deemed inappropriate by the Company
Chapter 4 — Common Provisions
Article 13 — Intellectual Property Rights
All intellectual property rights related to the Service belong to the Company or their lawful owners. Participants may not use them beyond the scope expressly permitted by these Terms.
Article 14 — Personal Information
The Company handles Participants’ personal information appropriately in accordance with its Privacy Policy.
Article 15 — Disclaimer and Exclusion of Warranties
The Company makes no warranties regarding the Service or Fast Passes, including factual or legal defects relating to safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose or security. The Company bears no liability for damages caused by natural disasters, communication failures, Payment Service Provider system failures or other circumstances beyond its reasonable control. Even where the Company is held liable, its liability is limited to direct and ordinary damages and capped at the total Fees received by the Company through the Service over the preceding six months, except in cases of intentional misconduct or gross negligence.
Article 16 — Suspension and Termination of Service
The Company may change, suspend or terminate all or part of the Service without prior notice for system maintenance, legal changes, business decisions or other reasons. The Company bears no liability for damages incurred by Participants as a result of measures taken under this Article.
Article 17 — Restrictions and Cancellation of Registration
If a Participant violates these Terms, the Company may suspend the account, cancel its registration or take other measures without prior notice.
Article 18 — Exclusion of Antisocial Forces
Participants represent and warrant that neither they nor their officers are antisocial forces and that they have no ties to antisocial forces. The Company may terminate the contract if it determines that a Participant has violated these representations and warranties.
Article 19 — Prohibition of Assignment
Without the Company’s prior written consent, Participants may not assign, transfer, grant security over or otherwise dispose of all or part of their status, rights or obligations under these Terms to a third party.
Article 20 — Changes to Terms
The Company may amend these Terms from time to time under Article 548-4 of the Japanese Civil Code. Amended Terms take effect when announced by the Company in its prescribed manner. A Participant who continues using the Service after the Terms have been amended is deemed to have agreed to those amendments.
Article 21 — Governing Law and Jurisdiction
These Terms are governed by and construed under Japanese law. The Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes between the Company and Participants relating to the Service.
Supplementary Provision
These Terms take effect on June 25, 2025.
